The Netherlands uses a civil law notary (notaris) for all property transfers. Title doesn't pass until the notarial deed is signed and filed at the Kadaster.

Pull the Kadaster uittreksel and check for erfpacht on day one. Amsterdam municipal ground leases with approaching canon revision dates are a deal-killer at current interest rate levels - the revised canon on a large Amsterdam property can add EUR 200,000-500,000 per year.
Contact Gemeente Amsterdam directly if the canon revision is within 10 years. The municipality provides indicative canon estimates in writing; without one, you're guessing at a number that moves the entire income model.
The Omgevingswet entered into force in January 2024, replacing the older bestemmingsplan system. Confirm whether the parcel sits under the new omgevingsplan or a transitional (bruidsschat) regime at the municipality.
For development sites: run the AERIUS nitrogen check before signing. If the site is near a Natura 2000 area and AERIUS shows threshold exceedance, the development permit can be blocked for years.
Determine the BTW-election eligibility in the first week. The 10.4% overdrachtsbelasting on a EUR 20M deal is EUR 2.08M - if a BTW-election is available and the buyer is a registered BTW enterprise, that cost disappears entirely.
The election requires both parties to be BTW registrants and the property to meet the qualifying criteria. Get the BTW analysis from a Dutch tax advisor before contract; it can't be restructured after signing.
Commission the NEN 5740 Phase I ESA with PFAS assessment for all sites. Rotterdam port area, Schiphol vicinity, and the former industrial zones in Amsterdam-West and East carry PFAS groundwater contamination that wasn't measurable under older standards.

Dutch commercial closings require a notaris (civil law notary). The transfer deed (leveringsakte) is signed at the notary's office and filed immediately at the Kadaster. Title passes on the Kadaster registration date.
The notary performs independent Wwft client due diligence on both buyer and seller before the deed is signed. If the notary identifies AML concerns, they can refuse to proceed.

Erfpacht is the highest-risk item in Amsterdam CRE. Canon revision can occur every 50-75 years, the calculation method varies by contract, and the municipality has wide discretion in the new amount. Get the revision date and a written estimate before bidding on any Amsterdam asset with municipal ground lease.
The BTW-election decision must be made before contract. If the sale qualifies for BTW and the buyer is a registrant, the 10.4% overdrachtsbelasting disappears. On a EUR 10M deal that's EUR 1.04M saved. Miss the election window and it's gone permanently.
The kantoorverplichting (office energy mandate) has made offices below Label C functionally unlettable since January 2023. Buyers who acquire a sub-C office thinking the current tenants will stay face a cliff when those leases expire - new leases in an unlettable building aren't available.
PFAS contamination has changed the risk profile of Netherlands industrial and logistics real estate since 2019. Sites that had clean Phase I reports pre-2019 need to be retested under current PFAS standards.
The Dutch Kadaster is the authoritative source of property ownership and encumbrances in the Netherlands. All rights in rem - including hypotheken (mortgages), erfpacht (ground leases), opstalrecht (building rights), and erfdienstbaarheden (easements) - are only legally effective against third parties upon registration in the Kadaster. An unregistered right does not bind a buyer who acquires in good faith.
